Standard Terms and Conditions

These Terms and Conditions ("T&Cs") govern all sales of products and services by Point Zenith Ltd ("Company") and are binding upon any Client ("Client") purchasing from the Company. By making a payment or accepting delivery of products/services, the Client agrees to these T&Cs.

1. DEFINITIONS

Company: Point Zenith Ltd, registered in the United Kingdom.
Client: Any individual, company, or entity purchasing goods or services from the Company.
Product: Any physical item sold by the Company.
Service: Any work performed, including consultancy, implementation, and support.
Invoice: The payment request document issued by the Company.

2. ORDER ACCEPTANCE & CONTRACT FORMATION

All orders are subject to acceptance by the Company.
The Client’s purchase order, payment, or acceptance of delivery constitutes agreement to these T&Cs.
The Company reserves the right to reject any order at its discretion.

3. PRICING & PAYMENT TERMS

All prices are quoted exclusive of VAT, unless stated otherwise.
Payment must be made in full within 7 days from the invoice date.
Late payments incur a penalty of 8% per annum above the Bank of England base rate, plus a £50 administrative fee per overdue invoice.
The Company retains ownership of all Products until full payment is received.

4. DELIVERY & PERFORMANCE

Products: The Company will make reasonable efforts to ship products within the estimated timeframe but is not liable for delays caused by third parties.
Services: The Company will provide services with reasonable skill and care, but exact timelines are subject to project dependencies.
Any Client-requested changes may result in additional charges and revised delivery timelines.

5. WARRANTIES & LIABILITY LIMITATION

All Products and Services are provided ‘as is’ without warranties of any kind, express or implied.
The Company does not guarantee specific results from any Services.
To the maximum extent permitted by law, the Company is not liable for:
Any indirect, consequential, or incidental damages, including lost profits.
Any claim exceeding the total amount paid by the Client under the relevant invoice.
The Client assumes full responsibility for ensuring that any Product or Service is suitable for their intended use.

6. RETURNS, REFUNDS, & CANCELLATION

All sales are final. Point Zenith Ltd does not accept returns or issue refunds, except where required by law.
Services are non-refundable once commenced, except at the sole discretion of the Company.
Cancellation of service engagements requires 30 days’ notice and may be subject to a cancellation fee.

7. INTELLECTUAL PROPERTY

The Company retains all intellectual property rights in its work, except where explicitly transferred in writing.
The Client may not reproduce, modify, or distribute Company materials without prior written consent.

8. CONFIDENTIALITY & DATA PROTECTION

Both parties agree to maintain confidentiality regarding sensitive business information.
The Company will process any personal data in accordance with applicable UK GDPR laws.

9. FORCE MAJEURE

The Company is not liable for any failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, or supplier failures.

10. GOVERNING LAW & DISPUTE RESOLUTION

These T&Cs are governed by English law.
Any disputes shall first be resolved by good-faith negotiation.
If unresolved, disputes shall be settled in the courts of England & Wales.

11. GENERAL PROVISIONS

No Waiver: Failure to enforce any term does not waive the Company’s right to do so later.
Severability: If any part of these T&Cs is found invalid, the remainder remains in effect.
Entire Agreement: These T&Cs constitute the entire agreement between the Company and the Client, superseding any prior agreements or communications.
